Purpose / Project Description:

It is vital that this process moves both quickly and with great attention to detail. Mercy Corps (MC) is seeking to bring in an experienced and effective project management consultant to drive the process through the remaining steps of due diligence, to a decision point, and then through a transition if a decision to proceed is reached. This consultancy will build the architecture for how to move through the rest of the due diligence, the second phase of mapping out systems integration (finance, HR, procurement, etc.), and finally the potential third phase of implementation with the goal being full integration.

Consultant Objectives:

This consultant will serve as both the main point of contact for Mercy Corps throughout this project, and will be responsible for mapping and tracking all elements of the process. There will be robust communication across MC departments (HR, Finance, Legal, Technical Support Unit (TSU), Program Teams, etc.) and with the subject organization throughout this process, ensuring all relevant parties are up to date when needed and that all work streams remain on target. This consultant will also organize presentations and meetings with the Executive team when needed for next steps.

Consultant Activities:

The Consultant will:

Phase I: Finalizing Due Diligence and Analysis (April, May)

  • Support the final steps of the Due Diligence phase including refining work streams and completing action items, managing deadlines for all parties, and keeping all parties informed of next steps.
  • Create a work plan for the integration planning phase
  • Produce memos and other summary materials to support key decision points

Phase II: Detailed integration planning (May – August)

  • Develop the full plan for integration of the subject organizations programs into MC portfolio, the plan will include both programmatic and operations integration, and will cover actions to be taken pre and post the transaction date. working with the below teams:
    • Operations Plan: HR, Finance, IT, Legal
    • Programmatic Plan: TSU, Africa Regional Team, MC country teams
  • Support teams and departments execute the pre-transaction steps required as laid out in the plan
  • Support the development of a communication plan that includes both donor communication and roll-out plan for MC new portfolio and initiative branding.
  • Develop success metrics and a plan for tracking

Phase III: Post Merger finalization (TBD)

  • Work closely with subject organization Transition Project Manager to initiate the integration plans for both teams. This work will include but not be limited to:
    • Facilitating systems integration, providing support for MC teams to understand merger and integration process.
    • Navigate and update the integration process as needed to create a fluid and efficient transition for this new portfolio of work.
    • Work closely with the IT team to bring new entities into all MC systems.

Consultant Deliverables:

The Consultant will:

  • Build a project management plan for each phase, including communication plan to keep executive and leadership teams appraised of progress
  • Prepare Board presentations for both subject organization and MC board meetings
  • Develop the integration plan for:
    • Financial system
    • HR system
    • IT programs
    • Programs
    • Resource Development
  • Build visual and written document for how the programs and staff will integrate into MC’s Africa Regional Portfolio and the Global TSU

Timeframe / Schedule:

  • Phase I: April 1- 30th: Phase II work plan, projected cost and LOE plan for MC, including projected 3rd party or consultant needs for each team. Board presentations for both subject organization and MC board meetings.
  • Phase II: May 1 – September 1: Projected cost and LOE plan for MC, including projected 3rd party or consultant needs for each team. Board presentations for both subject organization and MC board meetings
  • Phase III: September 1 –TBD: Project management plan for integration, success tracking and trouble-shooting processes

The Consultant will report to:

  • Senior Director, TSU
  • Senior VP for Programs
  • Interim Executive Director Mercy Corps Europe

The Consultant will work closely with:

TSU, Africa Regional Team, HR, Finance, Legal

Required Experience & Skills:

  • **5 to 7 years experience in complex project management, preferable in mergers or acquisitions
  • Ability to lead teams, handle negotiations and facilitate planning processes
  • Ability to work effectively under tight deadlines
  • Exceptional written and interpersonal communication skills
  • Familiarity with major donors such as USAID, DFID, the EC and relevant foundations and corporations.
  • Practical field experience, delivering capacity building curriculum or other processes to field teams.
  • Fluency in English is required.
  • Bachelor’s degree or equivalent technical experience in project management, certifications are preferred.
